Terms of Service
In order to use JotQuip, you must agree to abide by the Terms of Service. Our goal is to protect you and all the users of JotQuip and the services on which it operates, by clearly defining acceptable use and responsibilities. For example, we clearly state that you retain ownership of all intellectual property rights in your content, such as the text of your transcriptions -- we do not claim any ownership of your content.

Welcome to JotQuip. These Terms of Service ("Terms") govern your use of the JotQuip desktop application, websites, and any related services (collectively, the "Service"), operated by JotQuip ("we," "us," or "our").
By accessing or using our Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, do not use the Service.
1. Description of Service
JotQuip is a desktop software application that provides real-time transcription services. The Service is an Electron-based application that you install on your local machine. Core functionalities, such as transcription and data storage, are dependent on an active internet connection and our integration with various third-party service providers.

The Service relies on third-party providers to function. These include, but are not limited to, Deepgram and Gladia for speech-to-text processing, Supabase for database management, and Clerk for authentication. By using JotQuip, you acknowledge and agree that:

You agree not to misuse the Service or help anyone else to do so. You agree you will not, and will not attempt to, do any of the following in connection with the Service:

You are responsible for safeguarding your account and for all activities that occur under it. You must notify us immediately of any unauthorized use of your account. We are not liable for any loss or damage arising from your failure to protect your account.
5. Intellectual Property
The Service and its original content, features, and functionality are and will remain the exclusive property of JotQuip and its licensors. You may not copy, modify, distribute, sell, or lease any part of our Service or included software.
6. User Content
You retain ownership of all intellectual property rights in your content, such as the text of your transcriptions. We do not claim any ownership of your content. You are solely responsible for the content you create, process, and store using the Service.
7. Termination
We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Service will immediately cease.
8. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT THE RESULTS OBTAINED FROM THE USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE.
9. Limitation of Liability
IN NO EVENT SHALL JOTQUIP, NOR ITS DIRECTORS, EMPLOYEES, PARTNERS, OR AGENTS, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE.
10. Indemnification
You agree to defend, indemnify, and hold harmless JotQuip and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of your use and access of the Service, or a breach of these Terms.
11. Governing Law
These Terms shall be governed and construed in accordance with the laws of North Carolina, USA, without regard to its conflict of law provisions.
12. Changes to These Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

- Your data, including audio recordings and user information, will be processed by these third parties as necessary to provide the Service.
- Your use of the Service is also subject to the terms and policies of these third-party providers. It is your responsibility to review and comply with their respective terms of service and privacy policies.
- We are not responsible for the data handling practices, availability, or performance of any third-party services.
3. Acceptable Use and Prohibited Conduct
You agree not to misuse the Service or help anyone else to do so. You agree you will not, and will not attempt to, do any of the following in connection with the Service:
- Use the Service for any illegal or unauthorized purpose, or engage in, encourage, or promote any activity that violates these Terms or any applicable law.
- Probe, scan, or test the vulnerability of any system or network, including those of our third-party providers.
- Breach or otherwise circumvent any security or authentication measures.
- Reverse-engineer, decompile, disassemble, or otherwise attempt to discover the source code or underlying structure, ideas, or algorithms of the Service.
- Interfere with or disrupt the Service, our servers, or networks, including by sending a virus, overloading, flooding, spamming, or mail-bombing any part of the Service.
- Engage in excessive or abusive usage of the Service, which is usage significantly in excess of average usage patterns that adversely affects the speed, responsiveness, stability, availability, or functionality of the Service for other users. This includes, but is not limited to, excessive use of bandwidth, server connections, or storage quotas.
- Sell, rent, lease, or grant a sublicense to any part of the Service to any third party.
